Overview
These Terms of Service ("Terms") form a binding agreement between Berkley Creek Software LLC d/b/a Petunia ("Petunia," "we," "us," or "our") and the person or entity using Petunia's website, mobile app, dashboards, booking tools, messaging tools, payment-related features, and related services (collectively, the "Services"). By accessing or using the Services, you agree to these Terms. If you use the Services on behalf of a company or other organization, you represent that you are authorized to bind that entity to these Terms.
Eligibility and Scope
You must be at least 18 years old, or the age of legal majority where you live, and able to form a binding contract in order to use the Services. You may use the Services only in compliance with these Terms, applicable law, and any additional written policies or service-specific terms that Petunia makes available to you. Petunia's Privacy Policy explains how we collect, use, and protect personal information and is incorporated into these Terms by reference. If you use Petunia's payment-related features, the Petunia Merchant Payments Addendum, any applicable pricing terms, and applicable payment-processor terms also apply, and those payment-specific terms control for the affected payment-related feature if there is a conflict.
Accounts, Registration, and Security
You must provide accurate, complete, and current information when creating an account or using the Services. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must promptly notify Petunia if you suspect unauthorized access to your account or any other account-security issue. Petunia may require identity, business, ownership, tax, payout, or other verification information before allowing access to certain features.
User Responsibilities and Accuracy of Information
You are responsible for making sure that the information you submit through the Services is truthful, complete, current, and not misleading. You are responsible for your own conduct, decisions, communications, bookings, cancellations, refund policies, pricing, service descriptions, staff actions, and interactions with other users. If you operate a business through Petunia, you are responsible for determining which laws, regulations, permits, taxes, notices, waivers, policies, and disclosures apply to your operations and for complying with them.
Acceptable Use
- You must not use the Services for unlawful, fraudulent, deceptive, harmful, abusive, or misleading activity.
- You must not impersonate any person or entity or misrepresent your affiliation, authority, identity, services, or pricing.
- You must not submit false listings, fake reservations, false reviews, false disputes, or misleading service descriptions.
- You must not upload harmful code or interfere with the integrity, security, or performance of the Services.
- You must not scrape, harvest, or collect data from the Services by automated means except as expressly authorized by Petunia in writing.
- You must not use the Services in a way that infringes or violates the rights of Petunia or any other person or entity.
Bookings, Payments, and Third-Party Services
Petunia provides software tools that may help users create profiles, manage pets, communicate, request or manage reservations, organize operations, and, where enabled, facilitate payment-related workflows. Businesses, not Petunia, are responsible for setting and maintaining their own service descriptions, prices, availability, cancellation terms, refund policies, house rules, and fulfillment practices unless Petunia expressly states otherwise in a separate written product offering. Payment processing, payouts, identity verification, hosting, communications, or other parts of the Services may be provided or supported by third-party providers, and your use of those third-party components may also be subject to the provider's own terms and policies.
Business Listings and Service-Provider Responsibility
If you create or manage a business listing, you are solely responsible for that listing and for the services offered, booked, or delivered through it. Businesses are solely responsible for the quality, legality, safety, suitability, fulfillment, supervision, care standards, staffing, pricing, tax treatment, customer communications, licensing, permits, insurance, and policy compliance of their own services. Pet owners, clients, presenters, and other users are responsible for evaluating whether a business, provider, or service is appropriate for them or their pets.
Platform Role Limitations
Petunia is a software platform. Except to the limited extent Petunia expressly undertakes an obligation in these Terms or another written agreement, Petunia is not the provider of the pet-care, boarding, daycare, grooming, training, breeder, rescue, shelter, transport, veterinary, or other services that users may describe, request, offer, or perform through the Services. Petunia is not an insurer, guarantor, fiduciary, employer of a business's staff, or agent of users merely because it provides the Services, and Petunia does not guarantee the conduct, quality, safety, legality, availability, pricing, timing, accuracy, or outcomes of third-party services or user interactions.
User Content, Feedback, and Intellectual Property
You retain ownership of the content, data, text, images, records, policies, messages, and materials you submit or upload to the Services, subject to the rights you grant in these Terms. You grant Petunia a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, format, transmit, and otherwise use that content as reasonably necessary to operate, secure, support, improve, and provide the Services and to comply with law. The Services, including Petunia's software, branding, logos, interfaces, and related materials, are owned by Petunia or its licensors and are protected by intellectual-property and other laws. Subject to these Terms, Petunia grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Services for your internal personal or business use.
Disclaimers
To the maximum extent permitted by law, the Services are provided on an "as is" and "as available" basis. Petunia does not warrant that the Services will be uninterrupted, error-free, secure, compatible with every device or workflow, or available at every time or in every location. Petunia does not warrant or guarantee booking volume, customer demand, provider quality, business outcome, revenue result, collection outcome, compliance outcome, dispute outcome, or any other commercial result. Information made available through the Services is for general informational and operational purposes only and is not legal, tax, accounting, insurance, veterinary, medical, employment, or regulatory advice.
Limitation of Liability
To the maximum extent permitted by law, Petunia and its officers, directors, employees, contractors, affiliates, licensors, and service providers will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, lost revenue, lost data, loss of goodwill, business interruption, or the cost of substitute services. To the maximum extent permitted by law, Petunia's aggregate liability arising out of or relating to the Services or these Terms will not exceed the greater of the total amount you paid directly to Petunia for the Services in the 12 months before the event giving rise to the claim or one hundred U.S. dollars (USD $100). Nothing in these Terms limits liability that cannot be limited under applicable law.
Indemnity
You will defend, indemnify, and hold harmless Petunia and its officers, directors, employees, contractors, affiliates, licensors, and service providers from and against claims, liabilities, damages, judgments, losses, fines, penalties, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to your use of the Services, your content, your business or listings, your bookings or customer disputes, your breach of these Terms or applicable law, or your infringement or violation of another person's rights. This does not require you to indemnify Petunia to the extent a claim was caused solely by Petunia's own breach of these Terms, gross negligence, or willful misconduct where that carveout is enforceable or required by law.
Suspension and Termination
- Petunia may suspend, restrict, or terminate access to some or all of the Services if you breach these Terms or applicable law.
- Petunia may act if your account information is inaccurate, incomplete, or misleading.
- Petunia may act if your conduct creates fraud, security, legal, regulatory, safety, or reputational risk.
- Petunia may act if a third-party provider or legal requirement limits or prevents continued service.
- Petunia may act if it reasonably believes suspension or termination is necessary to protect users, pets, Petunia, or third parties.
You may stop using the Services at any time and may request account closure through the Services or by contacting Petunia. Suspension or termination does not affect rights or obligations that accrued before suspension or termination, including payment obligations, indemnity obligations, or recordkeeping obligations that should survive.
Changes to the Services and Terms
Petunia may add, modify, limit, suspend, or discontinue any part of the Services at any time. Petunia may also update these Terms from time to time. If we make material changes, we may provide notice by posting the updated Terms in the Services, updating the Last Updated date, or using another reasonable electronic notice method. Your continued use of the Services after updated Terms become effective means you accept the updated Terms.
Governing Law and Dispute Resolution
These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law rules, unless applicable law requires otherwise. Any dispute not otherwise required to be resolved differently by law will be brought exclusively in the state or federal courts located in Pennsylvania. Petunia may seek injunctive or equitable relief in any court of competent jurisdiction to protect the Services, confidential information, or intellectual-property rights.
